Public Offer of the Online Store vytachbakery.com on the Sale of Goods
This agreement is an official and public offer from the Seller to conclude a purchase agreement for the goods presented on the website https://vytachbakery.com/. This agreement is public, meaning that, in accordance with Article 633 of the Civil Code of Ukraine, its terms are the same for all buyers, regardless of their status (individual, legal entity, or individual entrepreneur), without granting preference to any buyer over another. By concluding this Agreement, the buyer fully accepts the terms and procedures for ordering, paying for, delivering, and returning goods, as well as the responsibilities for any dishonest orders and other terms of the agreement. The agreement is considered concluded from the moment the buyer clicks the "Confirm Order" button on the order checkout page in the "Cart" section and receives order confirmation from the Seller electronically.
1. Definitions
1.1. Public Offer (hereinafter referred to as the "Offer") — a public offer from the Seller, addressed to an unspecified group of people, to conclude a purchase agreement for goods remotely (hereinafter referred to as the "Agreement") under the terms specified in this Offer.
1.2. Goods or Service — the subject of the transaction chosen by the Buyer on the online store's website and placed in the cart, or already purchased by the Buyer remotely from the Seller.
1.3. Online Store — the Seller's website at https://vytachbakery.com/ , created to facilitate retail and wholesale sales agreements based on the Buyer's familiarization with the Seller's description of the goods via the Internet.
1.4. Buyer — a capable individual aged 18 or older, receiving information from the Seller, placing an order for goods presented on the online store's website for purposes unrelated to business activity, or a legal entity or individual entrepreneur.
1.5. Seller — Individual Entrepreneur Bondarenko Victoria Vasylivna (identification code 3128718647), an individual operating in accordance with the laws of Ukraine, whose address is: 10A Naddnipryanska St., Vytachiv Village, Kyiv Region, 08740
2. Subject of the Agreement
2.1. The Seller agrees to transfer ownership of the Goods to the Buyer, and the Buyer agrees to pay for and accept the Goods under the terms of this Agreement.
2.2. The date of conclusion of the Offer Agreement (acceptance of the offer) and the moment of full and unconditional acceptance of the Agreement's terms by the Buyer is considered the date on which the Buyer completes the order form on the online store's website, provided the Buyer receives electronic confirmation of the order from the Seller. If necessary, at the Buyer's request, the Agreement may be concluded in written form.
3. Ordering
3.1. The Buyer independently places an order in the online store through the "Cart" form, via email, or by calling the number provided in the online store's contact section.
3.2. The Seller reserves the right to refuse to fulfill the Buyer's order if the information provided by the Buyer is incomplete or raises doubts about its validity.
3.3. When placing an order on the online store’s website, the Buyer is required to provide the following necessary information to fulfill the order:
3.3.1. Buyer's last and first names;
3.3.2. Delivery address (if delivering to the Buyer's address);
3.3.3. Contact phone number.
3.3.4. Identification code for a legal entity or individual entrepreneur.
3.4. The name, quantity, SKU, and price of the selected Goods are specified in the Buyer's cart on the online store's website.
3.5. If any additional information is needed by either party, they have the right to request it from the other party. The Seller is not responsible for providing quality service if the necessary information is not provided by the Buyer.
3.6. When placing an order through the Seller's operator (as per clause 3.1 of this Offer), the Buyer must provide the information specified in clauses 3.3 - 3.4 of this Offer.
3.7. The Buyer's acceptance of this Offer's terms is made by entering the relevant data into the registration form on the online store's website or by placing an order through the operator. After the order is placed via the operator, the Buyer's data is entered into the Seller's database.
3.8. The Buyer is responsible for the accuracy of the information provided when placing the order.
3.9. By concluding the Agreement, i.e., by accepting the terms of this offer (purchase conditions), by placing the Order, the Buyer confirms the following:
a) The Buyer has fully read and agrees with the terms of this offer;
b) The Buyer consents to the collection, processing, and transfer of personal data. The consent to process personal data is valid for the entire duration of the Agreement and for an unlimited period after its termination. Additionally, by entering into the Agreement, the Buyer confirms being informed (without further notice) of the rights established by the Law of Ukraine "On Personal Data Protection," the purposes of data collection, and that the Buyer’s personal data is provided to the Seller to fulfill the Agreement, conduct mutual settlements, and receive invoices and other documents. The Buyer also agrees that the Seller has the right to grant access to and transfer the Buyer's personal data to third parties without further notification to fulfill the Buyer’s order. The scope of the Buyer's rights as a data subject, as per the Law of Ukraine "On Personal Data Protection," is understood by the Buyer.
4. Price and Delivery of Goods
4.1. Prices for Goods and services are determined by the Seller and listed on the online store's website. All prices are in hryvnias, including VAT.
4.2. Prices may change unilaterally by the Seller based on market conditions. The price of an individual item paid in full by the Buyer cannot be changed by the Seller unilaterally.
4.3. The product price listed on the online store’s website does not include delivery costs. The Buyer pays for delivery according to the delivery service's current rates.
4.4. The Seller may provide an estimated delivery cost to the Buyer when the Buyer requests this information via email or when placing an order through the online store’s operator.
4.5. The Buyer's payment obligations are fulfilled once the Seller receives funds in the account.
4.6. Payments between the Seller and Buyer are made in ways specified on the online store's "Payment and Delivery" section.
4.7. Upon receiving the goods, the Buyer must inspect the goods for conformity in terms of quality, quantity, and completeness in the presence of the delivery service representative.
4.8. The Buyer or their representative confirms with a signature on the receipt, order, or waybill that there are no claims regarding the quantity, appearance, and completeness of the goods.
4.9. Ownership and risk of accidental loss or damage to the Goods pass to the Buyer upon receiving the goods from the Seller or when transferred by the Seller to the delivery service chosen by the Buyer.
5. Rights and Obligations of the Parties
5.1. The Seller is obliged to:
5.1.1. Transfer the goods to the Buyer in accordance with the terms of this Agreement and the Buyer's order.
5.1.2. Not disclose any personal information about the Buyer, except as required by law and to fulfill the Buyer's order.
5.2. The Seller has the right to:
5.2.1 Change the terms of this Agreement and the prices for Goods and services unilaterally by posting them on the online store's website. All changes take effect from the moment of publication.
5.3. The Buyer is obliged to:
5.3.1 Read the content of the Agreement, its terms, and the prices offered by the Seller on the online store's website before concluding the Agreement.
6. Return of Goods
6.1. The Buyer has the right to return non-food goods of proper quality within 14 days (excluding the day of purchase) if the goods do not meet their needs in terms of form, size, style, color, or other reasons. The return is possible if the goods have not been used and retain their marketable condition, consumer properties, packaging, seals, tags, and the receipt issued for payment. A list of goods not eligible for return based on these grounds is approved by the Cabinet of Ministers of Ukraine.
6.2. Refunds for goods of proper quality are processed within 30 calendar days from the date of receiving such Goods by the Seller, provided the requirements of clause 6.1 and applicable Ukrainian laws are met.
6.3. Refunds are made by bank transfer to the Buyer's account.
6.4. Returns of goods of proper quality to the Seller's address are at the Buyer's expense and are not reimbursed by the Seller.
6.5. If defects are found within the warranty period, the Buyer may claim remedies from the Seller as provided by the Law of Ukraine "On Consumer Rights Protection."
7. Liability
7.1. The Seller is not liable for damages caused to the Buyer or third parties as a result of improper installation, use, or storage of goods purchased from the Seller.
7.2. The Seller is not liable for delays or failures to fulfill the order due to false or incomplete information provided by the Buyer.
8. Confidentiality and Data Protection
8.1. By providing personal data on the online store website, the Buyer consents to the processing, use, and transfer of their data as stipulated by the Law of Ukraine "On Personal Data Protection."
8.2. The Seller agrees not to disclose Buyer information except to fulfill the Buyer's order or as required by law.
9. Other Conditions
9.1. This Agreement is concluded in Ukraine and is governed by Ukrainian law.
9.2. Any disputes between the Buyer and Seller will be resolved through negotiation, and if unsuccessful, may be submitted to the courts of Ukraine.
